RULES for The Next Internet Millionaire

 

ELIGIBILITY REQUIREMENTS:

 

You must be at least 18 years of age, as of the date of your audition. If you are selected as a Finalist, you will need to provide identification.

 

This contest is open to residents of any country, however you must speak English fluently, and your participation must be legal according to the laws of your local jurisdiction.

 

You must accept the Audition Agreement, and agree to abide by these Rules.

 

If you are selected as a finalist, you must accept and sign the Contestant Agreement (will be provided to Finalists).

 

We may perform a background check including criminal records or other examinations upon the Finalists at our discretion.

 

You must be available to travel to Loveland, Colorado from July 22nd  – August 4th 2007 (at our expense). You must be available for the entire date range, but depending on your success in the competition, you may not be required to stay for the entire duration of the filming schedule.

 

DISQUALIFICATIONS:

 

You are not eligible if you, or any member of your immediate family and/or anyone living in your household, is employed by, related to, or otherwise directly connected to  Joel Comm, InfoMedia Inc, Eric Holmlund LLC, or any other party that we deem to be a conflict of interest.

 

Except where otherwise prohibited by law, we reserve the right to disqualify and/or exclude, in our sole and absolute discretion, any individual from the audition process or at any point during the contest, for any reason or for no reason at all, including without limitation, violation of any portion of the Rules, or tampering with the entry process or the audition process or any potential voting process.

 

THE CONTEST:

 

The Next Internet Millionaire™ is looking for an entrepreneur who desires to make a million dollars doing a joint venture with Joel Comm.

 

THE PRIZES:

 

The winner of the contest will receive a $25,000 cash prize. Additionally, the winner will be given the opportunity to do a joint venture with Joel Comm. As with any business venture, results will vary. The profitability of the venture depends on many factors, and no results or profits are guaranteed.

 

The 12 Finalists will receive an all-expense paid trip to the filming of the show. Travel, accommodations and meals will be covered by the producers of the show. Incidental expenses you incur on your own (e.g., additional meals, beverages, entertainment, etc.) will be at your own cost.

 

Additional prize(s) may be given to the winner and/or any of the 12 Finalists. All prize winners are solely responsible for any taxes payable in connection with the receipt of any prize. If any prize winner is a United States citizen, he or she may be required to submit their social security number or Tax ID number.

 

ODDS OF WINNING:

 

This is a contest of skill, not a game of chance. Therefore it is not possible to determine any odds of winning.  There is no guarantee of any business success. The show is for entertainment only.

 

AUDITIONS:

 

There is no fee is to enter this contest. The audition process is free.

 

Auditions are open to the public, according to the Eligibility Requirements of these Rules.

 

All auditions will be done by video.

 

Your audition video must be uploaded to YouTube™.  We will NOT accept any other format, including videos sent to us by other means. The only exception is auditions filmed by our production staff.

 

In addition to uploading your audition video to YouTube, you must fill out the audition application on our website.

 

Your audition video may not be more than two minutes in length.

 

Content of your audition video:

 

You should state your first name (last name optional), city and state or country.

 

You should explain why you think you should be the next internet millionaire. Be yourself. Be creative.

 

You may, but are not required, to ask viewers to vote for you at NextInternetMillionaire.com

                                         

Do not wear any clothing items that contain brand names, sports teams, celebrities, or any other logos, trademarks, or copyrighted material.

 

Your audition video may not include music unless you are the owner of the work or have express written consent from the owner(s) of said works (which may need to be produced by you upon request).

 

You must have the right to any and all content contained in your video. This includes any music, video snippets, etc.

 

Your audition video should be well lit, so that your face is clearly visible. The audio should be good enough to clearly understand everything you say.

 

You should be the only person in your audition video.

 

Your audition video should be family friendly, with no nudity, foul language, or otherwise offensive material.

 

You may NOT advertise or mention any product in your audition video.

 

 While you are encouraged to promote yourself and your creativity, you may NOT   “pitch” your JV idea in your audition video (and if you do, someone will probably steal your idea anyway).

 

You may NOT say any website address (URL) or make any URL visible in your audition video. The exception is that you MAY say NextInternetMillionaire.com, and you are allowed to ask the viewers to vote for you at NextInternetMillionaire.com

 

You may not provide any personal contact information in your audition video.

 

The Next Internet Millionaire, including its Producers and Sponsors, are not responsible for  incomplete submissions, or any audition videos that may be delayed, illegible, garbled, misdirected, misrouted, or any other failure for any reason whether electronic, human or mechanical. Additionally, we

are not responsible for technical problems, hardware, software or telephone failures of any kind, lost or unavailable network connections, fraud, or any other problems with the Audition process or contest, regardless of the cause. This includes any inability to enter the contest or compete for any reason.

 

There is no guarantee that your audition will be posted or included on our site. There is no guarantee that you will be a Finalist.

 

One entry per person. In other words, you may only submit one audition video. You may not replace your audition video after it is submitted, so give it your best shot the first time.


We may choose to make exceptions to certain audition rules, as we see best fit for the competition. In such case, the judges will still treat all auditions equally, and the adherence to the rules does not affect the scores. Additionally, any such exception does not obligate us to make further exceptions.

 

This competition shall only be construed and evaluated according to United States law.

 

DATES AND ROUNDS:

 

The first round of auditions will be from May 9thJune 6th 2007. All auditions must be submitted no later than 11:59PM EST on June 6th 2007.

 

The top 50 contestants will be announced and notified on June 7th 2007. These top 50 contestants will be given the option to submit a new audition video for the second round. If they wish to submit a new audition video, it must be submitted no later than 11:59PM on June 12th, 2007. If they do not submit a new video, their first video will be used again for the second round.

 

The second round will be from June 13thJune 27th 2007, and will consist of the top 50 contestants.

 

The 12 Finalists will be chosen from the top 50 contestants. The 12 Finalists will be notified no later than June 29th, 2007. Each of the 12 Finalists must accept their spots no later than July 3rd 2007, or their spots will be given to the next ranked contestants. Notification will be made via the phone number and email address submitted to us with the audition. We are not responsible for any invalid contact information, or the inability to contact any contestant.

 

The 12 Finalists will be brought to our filming location in Colorado for the final round which will be from July 22ndAugust 4th 2007.

 

Due to the dynamic nature of the show, all dates are subject to change without notice. Any such changes will be posted on our website and in these Rules.


VOTING

There will be a voting mechanism on our website, which will be used to help determine the vote popularity and public opinion of each audition. In our sole discretion there may be other determining factors of the overall public opinion/vote score. This is to help protect the integrity of the integrity of the competition, and to prevent abuse. Any abuse of the voting sytem or manipulation of votes, including but not limited to automated voting, may result in certain votes not being counted.

 

JUDGES

 

We will appoint the judges who will be evaluating and judging all contestants in accordance with the contest Rules and Selection Criteria.  You may not contact or otherwise interact with the judges in any manner whatsoever.

 

SELECTION CRITERIA

 

The audition videos will be judged on the following criteria:

 

First round:

 

Vote popularity/rank – 50%

Creativity – 25%

Professionalism - 10%

Clear communication – 10%

Overall impression/impact – 5% 


In our sole discretion we may, but are not obligated to, select twenty five males and twenty five females to advance to the second round.

 

Second round:

 

Vote popularity/rank – 30%

Creativity – 35%

Professionalism - 10%

Clear communication – 10%

Overall impression/impact – 15%

 

In our sole discretion we may, but are not obligated to, select six males and six females to advance to the finals.

Finals:

 

Finalists on the show will be judged daily by Joel Comm and guest judges, based on their performance on the show.

 

GENERAL

 

Due to the dynamic nature of the show, and the fact that this exact thing has never been done before, these rules are subject to change at any time without notice, and in our sole discretion. AUDITION AGREEMENT

 

This Audition Agreement (hereafter the "Agreement") is made by and between the following parties (hereafter collectively referred to as the “Parties,” or individually as the “Party”): InfoMedia, Inc. (hereafter the “Company”), and _________________ (hereafter the “Participant”). This Agreement is executed in association with and for the purpose of allowing the Participant to audition for and participate in that certain contest created and established by the Company commencing on or about May 1, 2007 (hereafter the “Contest”).

 

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties hereby mutually agree to the following terms:

 

  1. The Company hereby agrees to allow the Participant to audition for and participate in the Contest, under the terms of this Agreement.

 

  1. By signing this Agreement and in exchange for the Company’s permission to participate in the Contest, the Participant agrees that it has been provided a copy of the Official Rules of the Contest (which are incorporated herein by reference, hereafter the “Rules”), and that:

 

 

  1. Participant has had an opportunity to read and review the Rules to the Participant’s satisfaction, or the Participant has waived such right to read and review the Rules,

 

  1. any question the Participant may have had with regard to the Rules has been answered to the Participant’s complete satisfaction, or the Participant has waived such right to raise have questions regarding the Rules answered,

 

 

  1. the Participant specifically agrees to obey and abide by all terms and conditions of the Rules.

 

  1. By signing this Agreement and in exchange for the Company’s permission to participate in the Contest, the Participant hereby agrees to irrevocably convey to the Company, the Participant’s audition information for the Company’s use in the Contest (hereafter the “Audition Information”), as further described below. The Audition Information may include, but is not limited to, the Participant’s name, age, address, contact information, vocational information, likeness, appearance, voice, still or motion photographs of Participant, audio or video recordings of the Participant etc. The Participant understands and acknowledges that as part of the Contest, the Participant may be recorded by audio and/or video means during all phases of the Contest and that such recording shall constitute Audition Information under this Agreement. In exchange for the Participant’s audition and participation in the Contest, the Participant gives the Company consent to conduct such recording and irrevocably agrees and grants permission to the Company, without any fee or charge, the right (but not the obligation) to use Participant’s Audition Information, in perpetuity throughout the world, in all media, now or here after known, to use in any manner the Company deems appropriate, and without limitation, for and in connection with the Contest, by whatever means exhibited, advertised or exploited, regardless of whether such Audition Information shall include still or motion photographs of Participant, recordings of Participant’s voice, or the Participant’s name, age, address, contact information, vocational information, etc. The Participant hereby releases and forever waives any objection which the Participant may have with regard to the Company’s usage or display of Participant’s Audition Information in any manner or form, as described herein.

 

  1. By signing this Agreement and in exchange for the Company’s permission to participate in the Contest, the Participant hereby releases and discharges the Company from any and all claims, suits, rights, demands, causes of action, objections, disputes, disagreements of any kind or nature whether at law or in equity, known or unknown, of every kind and nature, which it may now have, or may have in the future arising from, resulting from, or in any manner incidental to any and every matter, thing, or event that has occurred or failed to occur concerning, relating to or involving the Contest, the usage of the Audition Information or this Agreement.

 

 

  1. By signing this Agreement, it is specifically acknowledged by the Participant that the Company is under no obligation whatsoever to the Participant to accept the Participant’s audition or to provide to the Participant any item, thing, right or benefit. It is specifically agreed that the Company has no obligation to accept the Participant’s audition, and the Company is free to exercise its sole and independent discretion to accept or reject the Participant’s audition to the Contest. The Company has the sole and free authority to remove the Participant from the Contest and to terminate the Participant’s participation in the Contest at any time, with or without notice, for any reason or for no reason, with no obligation or duty whatsoever to the Participant. Likewise, the Participant has the sole and free authority to withdraw from the Contest at any time, with or without notice, for any reason or for no reason, with no obligation or duty whatsoever to the Company.

 

  1. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective legal representatives, successors, heirs and assigns.

 

 

  1. All agreements and understandings between the Parties are fully embodied and expressed herein.  No Party hereto has made any statement, guarantee, warrant, or representation with respect to the Contest or the Parties, except those contained herein.  This Agreement may not be changed except in writing signed by each Party hereto.

 

  1. Each Party warrants the authority to execute this Agreement in the capacity shown. The Participant specifically warrants and represents that he/she is at least eighteen years of age, is under no limitation or legal disability and possesses the legal authority to execute this Agreement.

 

 

  1. This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the State of Oklahoma.

 

  1. This Agreement may be executed in counterparts with each such signed document constituting an original and become binding as to the signing Party upon execution. For the purpose of executing this Agreement, a facsimile signature, electronic signature, or other means of expressing consent may constitute an original signature.

 

 

  1. Filling out the audition form and entering an electronic signature at http://www.nextinternetmillionaire.com/registration.php shall constitute an original signature and shall constitute full binding of this Agreement.
